Corporate Transactions Attorney — Legal AI<br><br><strong>Role Type:</strong> Contractor<br><br><strong>Location:</strong> Remote<br><br><strong>Job Summary<br><br></strong>We are seeking experienced <strong>Corporate Transactions Attorneys</strong> with strong M&A expertise to support a legal AI training and evaluation project. You will review contracts, perform redlining and negotiation exercises, and provide expert feedback to improve AI-generated legal analysis.<br><br>Key Responsibilities<br><br><ul><li>Perform contract drafting, review, redlining, and simulated negotiations. </li><li>Evaluate AI responses to M&A and contract-related scenarios. </li><li>Develop objective evaluation criteria for AI performance. </li><li>Provide expert feedback to improve AI outputs. </li><li>Collaborate with product and research teams on legal AI workflows. <br><br></li></ul><strong>Required Skills<br><br></strong><ul><li>Contract Redlining </li><li>Contract Drafting </li><li>Contract Negotiation </li><li>M&A </li><li>SPAs </li><li>APAs <br><br></li></ul><strong>Qualifications<br><br></strong><ul><li>J.D. from an ABA-accredited law school. </li><li>Active bar admission in at least one U.S. jurisdiction. </li><li>2+ years of experience in the M&A department of a corporate law firm. </li><li>Familiarity with standard M&A agreements, including SPAs and APAs. </li><li>Excellent written and verbal communication skills. </li><li>Strong analytical and attention-to-detail skills. </li><li>Ability to translate legal expertise into actionable feedback for AI systems. </li><li>Experience working in fast-paced, cross-functional environments.</li></ul>
